TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement (“Agreement”) is entered into by and between you (“Customer”) and Field Complete Inc., a Delaware corporation with its principal place of business at 9040 Roswell Road, Ste 470, Atlanta, GA 30350 (“Company”). By purchasing any service package (Basic, Premium, or Pro) from the Company, you agree to be bound by the following terms:



  1. ELIGIBILITY
    The Company’s services are available exclusively to companies based in the United States. The Company reserves the right to refuse service to anyone for any reason at any time.
  1. SERVICES
    Company will provide services to Customer as per the chosen package. These services must be utilized within 60 days of the purchase date.
  1. PAYMENT
    You agree to pay the Company the one-time fee corresponding to the chosen package upon purchase. Payments are non-refundable.
  1. DATA AND CONFIDENTIALITY
    The Company will maintain the confidentiality of all Customer data shared during the service provision. The Company will only use this information for the purposes outlined in this Agreement. The Company shall not be liable for any loss, damage, or corruption of data under any circumstances.
  1. SUPPORT AND MAINTENANCE
    Company will provide support services as outlined in the chosen package. The Company will not be responsible for any issues or problems that arise from misuse of the product by the Customer.
  1. TERM AND TERMINATION
    This Agreement will commence upon purchase and will continue until all Services are completed and delivered, or until terminated by either party.
  1. INDEMNITY
    Both parties agree to indemnify and hold harmless the other party from and against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever.
  1. LIMITATION OF LIABILITY
    Company’s liability under this agreement shall be limited to the total amount of fees paid by Customer to Company under this agreement.
  1. GOVERNING LAW
    This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware.
     
BY PURCHASING A SERVICE PACKAGE FROM FIELD COMPLETE INC., YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
